If you do not agree with any part of these Terms, you must refrain from using this website or engaging our commercial formulation and manufacturing services.

2. Scope of B2B Services

Gayatri Herbals Pvt. Ltd. operates primarily as a business-to-business (B2B) third-party manufacturer, contract manufacturer, and private label developer specializing in herbal, Ayurvedic, cosmetic, hair care, skin care, oral care, baby care, and personal care products.

Information provided on this website is intended solely for commercial entities, brand owners, distributors, and business partners seeking manufacturing solutions.

3. Quotations, Inquiries & Sampling

Submitting an inquiry through our website, quote forms, or email does not constitute a binding contract of manufacture.

• Quotations: All price quotes, Minimum Order Quantities (MOQs), and batch lead times provided by Gayatri Herbals are indicative until formalized in a written Purchase Order (PO) or Commercial Agreement.
• Sampling: Product samples developed for client review are subject to formal bench-test approvals. Production of commercial batches commences only after the client approves written sample specifications and sign-off sheets.

4. Intellectual Property

A. Company Intellectual Property

All content on this website—including text, graphics, logos, images, design elements, base formulation frameworks, and software—is the property of Gayatri Herbals Pvt. Ltd. and is protected by applicable copyright, trademark, and intellectual property laws.

B. Client Trademarks & Custom Formulations

Clients retain sole ownership of their registered brand names, artwork, logos, and proprietary custom formulation recipes specified in their individual Non-Disclosure Agreements (NDAs) and manufacturing contracts.

5. Regulatory Compliance & Labeling

Gayatri Herbals Pvt. Ltd. manufactures products in compliance with applicable manufacturing licenses issued by relevant authorities in India (including Ayush and Cosmetic manufacturing regulations).

• Facility Standards: Our manufacturing processes adhere to in-process quality controls and Good Manufacturing Practices (GMP).
• Labeling & Marketing Claims: While Gayatri Herbals provides guidance on ingredient lists and statutory manufacturing details, the Client remains responsible for ensuring their product artwork, claims, brand positioning, and retail labeling comply with the destination country's consumer protection and cosmetic labeling regulations.

6. Orders & Product Specifications

Orders are executed based on agreed product specifications, master batch records, and signed packaging artwork proofs.

Any requested changes to formulations, packaging components, or order quantities after batch scheduling may incur additional charges and cause production lead time adjustments.

7. Payment Terms, Shipping & Freight

• Payment Terms: Payment schedules (advance deposits, pre-dispatch balances) will be stipulated in individual proforma invoices or manufacturing agreements.
• Freight & Delivery: Unless otherwise agreed in writing (e.g., Ex-Works Thane/Mumbai facility), dispatch schedules, freight insurance, and export documentation responsibilities are specified prior to order fulfillment.
• Inspection upon Receipt: Clients must inspect goods upon delivery and notify Gayatri Herbals in writing of any transit damage or manufacturing discrepancy within 7 working days.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Gayatri Herbals Pvt. Ltd. shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use of our website or the marketing, resale, or distribution of finished goods by the Client.

Our total liability for any claim arising out of a commercial manufacturing order shall be limited to the total contract value paid by the Client for the specific production batch in question.

9. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India.

Any disputes arising out of or in connection with these Terms, website use, or commercial manufacturing engagements shall be subject to the exclusive jurisdiction of the competent courts in Thane / Mumbai, Maharashtra, India.
